Terms of Service
Effective date: October 1, 2026 · Last updated: October 1, 2026
Nudge K12, Inc. ("Ebby," "EbbyK12," "we," "us," or "our") provides an AI-powered admissions assistant that K-12 schools, independent and public charter, embed on their websites to help prospective families explore the school, get answers, and schedule visits.
These Terms of Service (the "Terms") govern your use of ebbyk12.com, the Ebby admissions assistant, our admin dashboard, and related services (together, the "Services"). By using the Services you agree to these Terms. If you do not agree, please do not use the Services.
Our Privacy Policy explains what information we collect and how we use it, and forms part of these Terms.
Who these Terms apply to
Ebby serves two kinds of people, and these Terms cover both:
- Schools. A school that purchases Ebby is also covered by its written agreement with us. Where that agreement and these Terms conflict, the written agreement governs.
- Families and visitors. Parents, guardians, and anyone who uses the assistant on a school's website or receives follow-up messages from a school through Ebby.
Using the Services
You agree to use the Services only for their intended purpose: learning about a school, asking admissions questions, and arranging visits. You agree not to:
- Use the Services to break the law or to infringe anyone's rights.
- Attempt to gain unauthorized access to the Services, other users' data, or any connected system.
- Interfere with, overload, or disrupt the Services, including by automated scraping or by submitting deliberately abusive volumes of traffic.
- Submit content that is unlawful, harassing, or that you do not have the right to share.
- Use the Services to send unsolicited commercial messages.
We may suspend access that violates these Terms.
SMS Terms
Some schools use Ebby to send admissions follow-up text messages to parents and guardians. These terms apply to those messages.
- Program. Ebby (Nudge K12, Inc.) sends admissions follow-up text messages on behalf of K-12 schools. Messages include inquiry confirmations, answers to admissions questions, and campus visit scheduling.
- Consent. Text messages are sent only to parents and guardians who gave the school permission to text them: by checking a text-message opt-in on the school's own inquiry form, by being on a list the school imported with documented opt-in, or by asking the school's admissions office directly, which the office records on the family's record. The full opt-in workflow and the exact consent language are published at how families opt in.
- Message and data rates may apply. Your mobile carrier's standard message and data rates apply to messages you send and receive.
- Message frequency. Message frequency varies and is low. Messages are sent during daytime hours.
- Opting out. Reply STOP at any time to stop all messages. STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, and QUIT are all honored, immediately and automatically. Your school's office can also record an opt-out for you at any time.
- Help. Reply HELP for help, or contact your school's admissions office. You can also reach us at the address under Contact below.
- Recipients. Parents and guardians only. Students are never texted.
- Carriers. Mobile carriers are not liable for delayed or undelivered messages.
- Privacy. We do not sell or share your SMS opt-in data or personal information with third parties for marketing purposes.
Schools' data and our role
When the Ebby assistant runs on a school's website, we process family information on that school's behalf, as the school's service provider. The school decides what is collected and how it is used. Our handling of that information, including our FERPA and COPPA posture, is described in the Privacy Policy.
Accounts
School staff accounts are for named individuals. Keep your credentials secure, do not share them, and tell us promptly if you believe an account has been compromised. You are responsible for activity under your account.
Intellectual property
The Services, including the Ebby software, interface, and content we publish, are owned by Nudge K12, Inc. and protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable right to use the Services as intended. Schools retain ownership of their own content and their families' data.
Availability and changes
We work to keep the Services available, but we do not guarantee uninterrupted access. We may change, suspend, or discontinue features. Where a change materially affects a paying school, we will give notice as set out in that school's agreement with us.
Disclaimers
The Services are provided "as is" and "as available." The assistant produces answers from the information a school provides to it, and it can be incomplete or out of date. Nothing the assistant says is a binding admissions decision, an offer of enrollment, or financial aid advice. Decisions about admission, tuition, and financial aid are made by the school. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the fullest extent permitted by law, Nudge K12, Inc. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising out of or relating to the Services. Our total liability arising out of or relating to the Services is limited to the amount paid to us for the Services in the twelve months before the claim, or one hundred US dollars if nothing was paid.
Some jurisdictions do not allow these limitations, in which case they apply to the extent permitted.
Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
Changes to these Terms
We may update these Terms. When we do, we will change the "Last updated" date above. Material changes affecting schools will be communicated as set out in their agreement with us. Continuing to use the Services after an update means you accept the updated Terms.
